阿里巴巴入股蚂蚁金服33%股权

中国杭州,2018年2月1日 — 阿里巴巴集团控股有限公司(纽交所代码:BABA,“阿里巴巴”)和浙江蚂蚁小微金融服务集团股份有限公司(“蚂蚁金服”)今日宣布,根据双方2014年签署的交易协议,阿里巴巴将入股蚂蚁金服并获得33%股权。双方同意对2014年交易协议作出部分修订,以促成本次交易。


根据修订后交易协议,阿里巴巴将向蚂蚁金服转让阿里巴巴拥有的与蚂蚁金服相关的专有知识产权,以获得蚂蚁金服新发行的股份。上述交易安排对阿里巴巴的资金状况不会产生影响。目前,蚂蚁金服向阿里巴巴支付知识产权和技术服务费,金额相当于蚂蚁金服税前利润的37.5%。交易完成后,双方将会终止这一安排。

本次交易已获得由阿里巴巴非执行董事组成的委员会(“阿里巴巴独立委员会”,其中大部分成员符合纽约证券交易所规则规定的独立董事要求)、阿里巴巴董事会审计委员会以及阿里巴巴董事会全体董事的审阅和批准。交易的完成需满足惯常的成交条件。阿里巴巴将通过一家中国子公司入股蚂蚁金服。
