中国杭州,2015年4月15日 — 阿里巴巴集团有限公司(纽交所代号:BABA)今日宣布,与香港上市的阿里健康信息技术有限公司(港交所代号:00241,“阿里健康”)达成最终协议。根据协议,阿里巴巴集团将转让天猫在线医药业务的营运权予阿里健康,以换取阿里健康新发行的股份及可换股债券(下称“交易”)。
阿里巴巴集团目前持有阿里健康约38%股权,交易完成后,其持股比例将上升到约53%(若可换股债券到期并悉数兑换后将升至54.6%)。阿里健康将成为阿里巴巴集团的子公司。
天猫平台上现时有186家拥有互联网药品交易服务资格的药房销售非处方药、医疗器械、隐形眼镜和其他保健产品。截至2015年3月底止财年,天猫在线医药业务的总商品交易额约人民币47.4亿元。在交易完成后,消费者将能继续透过天猫平台在线购买相关产品,而阿里健康将在后台负责集中运营商家和产品供应,为消费者提供最优质和广泛的选择。整合在线医药业务将有利于阿里健康推进聚焦于医疗健康电商的战略,并将其服务拓展至中国医疗健康行业的更多参与方。

阿里健康已具备优势,在未来政策允许的情况下,充分把握机会进军在线处方药市场。阿里巴巴集团会继续支持阿里健康发展成为集团于医疗健康领域的旗舰平台。
本次交易有待包括天猫在线医药业务相关重组,以及其他惯常的交易前提条件满足后方可完成。其他惯常的交易前提条件包括但不限于阿里健康独立股东以及香港交易所的批准。阿里巴巴集团预期交易将于2015年第三季完成,交易具体完成日期将根据买卖协议之条款及前提条件完成而定。
